Services Agreement

This Agreement by and between HCA Florida University Hospital Davie, FL, located at 3476 S University Dr., Davie, FL 33328 (the "Hospital"), and Global Laser Services LLC ("Global Laser") is entered into on July 8, 2026 (the "Effective Date").

Witnesseth

Whereas, the Hospital has recognized a need for Greenlight Laser, Holmium Laser, Thulium Fiber Laser (TFL), and CO2 Laser services, including trained technical personnel responsible for the operation of such laser systems and all corresponding components (the "Services"); and

Whereas, Global Laser represents that it has available state-of-the-art laser equipment and duly qualified technical personnel necessary for all Services; and

Whereas, the Hospital has decided to enter into an agreement with Global Laser for the provision of the above-mentioned laser services at the Hospital.

Now therefore, the parties hereto agree to the terms and conditions set forth herein as follows:

Article I — General

1.1 Equipment

Global Laser shall provide the Hospital with laser equipment necessary for the provision of Greenlight, Holmium, Thulium Fiber, and CO2 Laser services, maintained in good order and repair at all times, including all required laser fibers, handpieces, and delivery systems.

1.2 Hospital Covenants and Representations

The Hospital represents that (a) it will obtain and maintain during the term of this Agreement all necessary approvals, licenses, consents, or waivers from any federal, state, regional, or local health planning agency or any other governmental body for the use of the laser systems at the Hospital, and (b) the Hospital has received all necessary corporate authority to approve this Agreement and perform its obligations hereunder.

Article II — Responsibilities of Global Laser

2.1 Delivery of Services

Global Laser will provide laser services to the Hospital on an "as needed" basis as requested by the Hospital, including after-hours or weekend service requests.

2.2 Maintenance and Repair of Laser Equipment

All laser delivery systems and corresponding components shall be maintained, at Global Laser's sole expense, in good order and repair as required by the Hospital and applicable laws.

2.3 Operations Personnel

Global Laser shall provide a trained and competent laser technician to assist in operating the laser delivery systems. Names and credentials of each technician will be provided in writing to the Hospital prior to providing services. Only properly trained, licensed Urologists on the medical staff of the Hospital will have use of the laser delivery systems.

2.4 Insurance

Global Laser shall maintain general liability and professional liability insurance with coverage of $1,000,000 per occurrence and $3,000,000 aggregate, property damage coverage of $1,000,000, and workers compensation insurance for its employees. Certificates of insurance shall be furnished to the Hospital prior to the start of operations, with 30 days written notice prior to cancellation, modification, or non-renewal.

2.5 Practice of Medicine

Global Laser shall not provide laser services directly to any patient and shall not provide medical consultation, diagnosis, treatment, or any other form of medical service. Global Laser provides only the use of laser delivery systems and the trained technical personnel to operate such systems under the control of a properly trained and licensed Urologist.

Article III — Responsibilities of the Hospital

3.1 Treatment Area

The Hospital shall provide an appropriate and adequate site on which to accept the laser delivery systems, including utilities in accordance with the laser equipment manufacturer's specifications.

3.2 Physician Supervision

Only a Urologist on the Hospital's medical staff qualified to administer and supervise the applicable laser procedures shall perform all tasks of general supervision, diagnosis, and patient care. The Urologist shall be solely responsible for conducting and determining the results of the laser procedures and communicating those results to referring physicians, Hospital staff, and patients.

3.3 Ancillary Services

The Hospital or physician's office shall provide all ancillary services required in conjunction with the laser services including x-ray, lab, and pretesting.

3.4 Records

The Hospital shall arrange for proper keeping of records and for the identification and care of its patients.

3.5 Supplies

The Hospital will maintain a suitable stock of supplies including catheters, blankets, towels, pharmaceuticals, etc. in its normal course of business.

Article IV — Joint Responsibilities

4.1 Obtaining Governmental Approvals

The parties agree to share information, execute all reasonably required documents, and make their personnel available to assist each other in obtaining approvals for (i) operation of the laser systems, and (ii) reimbursement by third-party payers.

4.2 Interruption of Schedule

If at any time the laser systems shall not be available, the parties shall cooperate to obtain mutually satisfactory equivalent service during the next available unscheduled period.

Article V — Charges and Billing

5.1 Laser Service Fees

5.2 Standby Fee

Global Laser will charge a standby fee of $500.00 when a technician arrives on site without prior notification of cancellation and no cases are treated on the same day.

5.3 After-Hours Fee

For laser services performed outside the Hospital's normal business hours (Mon–Fri, 7:00 AM – 5:00 PM), Global Laser shall charge an after-hours fee of $750.00 per procedure, in addition to the base fee. 24 hours advance written notice required.

5.4 Cancellation / No-Show Fee

If the Hospital cancels with less than 4 hours advance notice or fails to present a patient, Global Laser shall charge a cancellation fee of $500.00. If Global Laser cancels with less than 4 hours notice, the next scheduled service shall be provided at no charge.

5.5 Billing

Global Laser will submit an invoice to the Hospital for charges due. All invoices shall be paid within 30 days of treatment and must reference the applicable purchase order number.

5.6 Interest Charges, etc.

Any references in a Vendor agreement, sales order, quote, document, or invoice to interest charges, late fees, restocking fees, cancellation charges, minimum order fees, fuel surcharges, freight, or any other fees not clearly delineated herein, are hereby excluded by this Agreement and shall not be honored for payment.

5.7 Taxes

The Hospital is exempt from local, State and Federal taxes (including sales or use taxes).

5.8 Third-Party Reimbursement

The Hospital shall be solely responsible for preparing and filing all third-party reimbursement applications and procedures with respect to its patients.

Article VI — Insurance and Indemnity

6.1 Independent Contractor

The Hospital acknowledges that Global Laser is not an employee or agent of the Hospital and is engaged hereunder only to provide laser equipment and technical services in exchange for a specific fee. Global Laser solely is responsible for statutory withholdings for any person it provides to Hospital. Global Laser acknowledges no physician or physician family members have a financial interest in Global Laser.

6.2 Indemnity

Each party agrees to indemnify and hold the other harmless from claims arising from its own breach of this Agreement or negligence, subject to prompt notice and reasonable cooperation in defense.

6.3 Hospital Insurance

The Hospital shall maintain liability insurance coverage with a limit of not less than $1,000,000.

6.4 Global Laser Insurance

Global Laser will maintain general liability, property damage, employers' liability, workers' compensation, and motor vehicle liability insurance during the term of this Agreement.

6.5 Limitation of Damages

The liability of the parties for damages in connection with the Agreement shall not exceed the actual damages incurred by the party seeking redress, except for third-party claims.

6.6 Physicians Insurance

The Hospital may enter into agreements with physicians regarding liability insurance, but no such agreement shall affect or limit the Hospital's obligation under Section 6.3.

Article VII — Default, Term, and Force Majeure

7.1 Default

If either party breaches this Agreement, the other party shall give written notice and 30 days to cure. After such period, if not cured, the non-breaching party may terminate. The Agreement automatically terminates upon insolvency, bankruptcy, or loss of operating license of either party.

7.2 Term

The term of this Agreement shall be for a period of two (2) years, commencing on the Effective Date and ending on May [___], 2028. This contract will automatically renew and will discontinue only upon 60 days written notice by either party.

7.3 Termination Without Cause

Hospital may terminate this Agreement, at any time, without cause, upon sixty (60) days prior written notice.

7.4 Force Majeure

Neither party shall be deemed in default due to delays beyond their reasonable control. If a Global Laser force majeure event continues more than 5 business days, Hospital may terminate.

Article VIII — Miscellaneous

8.1 Proprietary Items

The systems, methods, procedures, written materials, and controls employed by Global Laser are proprietary and shall remain the property of Global Laser.

8.2 Governing Law

This Agreement shall be governed by the laws of the State of Florida. Global Laser irrevocably consents to in-personam jurisdiction in the Courts of the State of Florida, Broward County.

8.3 Compliance with Disclosure Law

Hospital and Global Laser agree to comply with the Omnibus Reconciliation Act of 1980 (P.L. 96-499) and its implementing regulations (42 CFR, Part 420). Global Laser shall make books and records available to the Secretary of HHS or the Comptroller General for four (4) years after furnishing services.

8.4 Debarment

Global Laser represents it has not been convicted of a healthcare-related criminal offense and is not listed as debarred or excluded from federal or state healthcare programs.

8.5 Personal Inducements

No cash, equity, merchandise, equipment, services, or other remuneration has been or will be offered as an inducement to purchase or influence the purchase of products or services.

8.6 Conflicts of Interest

Except as disclosed in writing, no employee, director, or officer of Hospital has a financial interest in Global Laser.

8.7 Disclosure of PHI

If this transaction involves disclosure of PHI and Global Laser is a Business Associate under HIPAA, Global Laser will execute the Hospital's Business Associate Agreement.

8.8 Business Held in Confidence

Global Laser shall not advertise or publish the fact that it has contracted with the Hospital without the Hospital's prior written consent.

8.9 Applicable Regulations and Regulatory Compliance

Global Laser warrants compliance with all applicable laws and regulations, including The Joint Commission standards, and shall obtain and maintain all required licenses, accreditations, and permits during the term of this Agreement.

8.10 Business Rules

Global Laser acknowledges receipt of the Hospital's "Business Rules for Vendors" and agrees to comply.

8.11 Entire Agreement; Amendment

This Agreement represents the entire understanding of the parties and supersedes all prior negotiations. No amendment shall be binding unless in writing and duly signed by both parties.

8.12 Compliance with Standards

Global Laser shall perform all services in accordance with regulatory and accreditation standards applicable to Hospital, including The Joint Commission.

8.13 Successors and Assigns

This Agreement shall be binding upon successors and assigns and shall not be assignable without the prior written consent of the other party.

8.14 Waiver

No waiver of any default or breach shall operate as a waiver of any future default or breach.

Article IX — Exclusion from Federal Health Care Programs

9.1 Definitions

Interpreted consistent with statutes and regulations governing the OIG's exclusion authority, including 42 C.F.R. Parts 1001, 1002 and 1003.

9.2 Covenants, Representations and Warranties

Global Laser warrants that neither it nor its directors, officers, partners, agents, employees, or contractors is excluded from any Federal Health Care Program; that Hospital will not violate 42 C.F.R. Parts 1001, 1002 or 1003 by seeking payment for items or services furnished by Global Laser; and that no excluded individual shall furnish any item or service under this Agreement.

9.3 Notice

Global Laser shall notify Hospital immediately of any exclusion or investigation by telephone followed by written notice within five (5) business days.

9.4 Indemnification

Global Laser shall indemnify Hospital against all claims arising from any breach of this Article IX.

9.5 Termination

This Agreement shall terminate automatically without notice if Global Laser is excluded from any Federal Health Care Program.

9.6 Eligibility for Government Programs

Global Laser represents it is not currently listed by any federal agency as debarred, excluded, or otherwise ineligible for participation in federal health programs.

9.7 Compliance Training

Global Laser will ensure its employees complete Hospital's annual corporate compliance, coding, and documentation training as applicable.

Exhibit A — Statement of Expectations / Laser Pricing Schedule

  1. Greenlight Laser Vaporization of Prostate (BPH) — $2,250.00 per treated patient. Includes Greenlight Laser System and up to two (2) laser fibers (second fiber must qualify for rebate). Additional fibers: $1,200 each.
  2. Holmium Laser Lithotripsy / Ablation — $965.00 per treated patient. Includes Holmium Laser System and one (1) fiber. Additional fibers: $600 each.
  3. Thulium Fiber Laser (TFL) Services — $1,200.00 per treated patient. Includes TFL System and one (1) fiber. Additional fibers: $800 each.
  4. CO2 Laser Services — $1,500.00 per treated patient. Includes CO2 Laser System and one (1) handpiece. Additional handpieces: $750 each.
  5. Standby Fee — $500.00 when technician arrives without prior cancellation and no cases are treated.
  6. After-Hours Fee — $750.00 per procedure for service outside Mon–Fri, 7:00 AM–5:00 PM. 24-hour notice required.
  7. Cancellation / No-Show Fee — $500.00 with < 4 hours advance notice.
  8. Laser Fiber-Only Supply — $1,200 Greenlight / $600 Holmium / $800 TFL (terms agreed separately).

Exhibit B — Health, Immunization and Infection Control Training Criteria

  • Current proof of immunity or vaccination for MMR, Varicella, Tdap, and Hepatitis B.
  • Annual tuberculosis screening (TB skin test or blood assay).
  • Annual influenza vaccination or approved medical / religious exemption.
  • Hospital infection control training: universal precautions, OSHA blood-borne pathogens, hand hygiene.
  • Documentation of OSHA universal-precaution training available upon request.
  • Background check substantially similar to Hospital employee inquiries.
  • Any additional health clearance required by Hospital's Occupational Health department.

Hospital reserves the right to deny any individual access based on the results of such inquiry or failure to meet the above criteria.
